General Terms

By accessing and using Odusy Technologies' website, software, or services, including Software & Web Development, Artificial Intelligence & Machine Learning, Cybersecurity & Threat Intelligence, Data Science & Analytics, Cloud & Edge Computing, and IT Consulting, you confirm that you agree to be bound by these Terms & Conditions. These terms apply to the website, applications, and any communication between you and Odusy Technologies.

Odusy Technologies shall not be liable for any direct, indirect, incidental, consequential, or special damages, including loss of data, profits, or business opportunities, arising from the use or inability to use our services or materials, even if we were advised of the potential damages. You assume responsibility for any costs associated with service, repair, or correction of any equipment or data.

• It is the Customer's responsibility to keep Odusy updated on any changes to contact information. Failure to do so may result in service disruption or expiry.
• Customer accounts are for use by the account holder only. Selling, reselling, sharing, or transferring Odusy services to third parties is prohibited.
• Odusy reserves the right to refuse services or products at its discretion, including suspending or cancelling services for violations of these Terms.
• All communications, including invoices, quotes, and service announcements, will be sent via email.

Definitions And Key Terms

• Cookie: Small data stored by your browser to identify your device, remember preferences, and collect analytics.
• Company: Odusy Technologies, located at [insert your company address], responsible for your information under this Agreement.
• Country: The country where Odusy Technologies operates—currently South Africa.
• Device: Any internet-connected device such as a computer, phone, or tablet used to access Odusy Services.
• Service: Any service provided by Odusy Technologies, including software, AI/ML, cybersecurity, analytics, cloud, or consulting services.
• Third-party Service: Advertisers, promotional partners, or any external service providers linked to or used by Odusy.
• You: Any individual or organization using Odusy Technologies' services.

Restrictions

You agree not to:

• License, sell, distribute, modify, or reverse-engineer Odusy Technologies' software, applications, or deliverables.
• Share or grant access to Odusy Services to third parties without written consent.
• Remove proprietary notices or intellectual property marks from our materials.

Financial Arrangements

• Payment Schedule: Unless otherwise stated, all payments are made in advance or as per agreed milestones.
• Invoices & Late Payments: Payments must be made within 14 days of invoice. Late payments incur a 10% late fee plus a $5.50 administration charge per month.
• Refunds: Refunds are only given at Odusy's discretion. Cancellation after work has commenced may result in partial or no refund.

Cancellations & Refunds

• All deposits paid are non-refundable.
• Fees charged on a pre-pay basis are non-refundable.
• Progress payments made during the delivery of services are non-refundable.
• Odusy may discontinue services immediately with no refund if the Customer violates this Terms Agreement.
• Refunds may only be given at Odusy's discretion if the service fails to meet the described deliverables.
• Any cancellation of repeating services must be provided with 30 days' notice. Advance payments are non-refundable.
• To cancel a service, Customers must contact Odusy directly; cancellations without notice will not be accepted.

Software & Web Development, AI, Data Science, & Cloud Services

• Project Deliverables: Customers will receive deliverables (e.g., software, AI models, dashboards, web applications) as specified in the project proposal or agreement. Any requests for additional features or functionality not included in the original scope may incur additional charges.
• Ownership & Licensing: Delivered software, AI models, and code remain the property of Odusy until all outstanding invoices are paid in full. Upon full payment, the Customer receives a license to use the software, AI models, or web applications for their intended purpose. Intellectual property related to Odusy's proprietary frameworks, platforms, or code remains the property of Odusy unless otherwise agreed in writing.
• Support & Maintenance: Odusy provides standard support as agreed in the proposal. Additional support, updates, or modifications outside the agreed scope are billable.
• Testing & Deployment: Deliverables will be tested on agreed platforms (PCs, servers, cloud environments). Customers requiring additional testing or deployment environments must notify Odusy in advance and may incur additional charges.
• Third-Party Components: Any third-party software, licenses, or APIs required for project delivery are the responsibility of the Customer unless explicitly included in the quote. Odusy is not liable for limitations or restrictions of third-party components.
• Hosting & Deployment Services: If hosting or cloud services are provided by Odusy, Customers are responsible for maintaining their data, backups, and credentials. Odusy will make reasonable efforts to ensure uptime but is not liable for service interruptions beyond its control.

License

Odusy grants a limited, non-exclusive, non-transferable license to use its services and software solely for internal business purposes. You may not distribute, sublicense, or resell our software or deliverables without written consent.

Your Consent

By accessing or using Odusy Technologies' website, registering an account, or purchasing services, you consent to these Terms & Conditions and our Privacy Policy.

Our Services may contain links to third-party websites. Odusy Technologies is not responsible for the content, accuracy, or policies of these external sites. Your interaction with any external website is at your own risk.

Indemnification

You agree to indemnify and hold Odusy Technologies harmless from claims, losses, or damages arising from your use of our Services, violations of law, or infringement of third-party rights.

No Warranties

Our Services are provided “AS IS” without warranty. Odusy Technologies does not guarantee uninterrupted, error-free, or fully compatible services. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

Odusy Technologies' liability is limited to the amount paid for the services. We are not liable for indirect, incidental, or consequential damages.
